Terms of service
What these terms cover
These terms apply to every service SOCIETE ALPHA QIO provides: building websites, redesign and repair work, search and AI visibility work, and the monthly services. By accepting a quote you accept these terms.
If we sign a project agreement with you, that agreement wins wherever it says something different from this page. These terms fill in whatever it does not cover.
Quotes
Every quote is written and lists the scope, the price and a delivery date. A quote stands for 30 days from the day we send it.
The price is fixed for the scope in the quote. If you ask for something outside that scope, we tell you, quote it separately, and wait for you to accept before doing it. Nothing is added to an invoice that you have not agreed to in advance.
Payment
- Fix packages. Paid in full before work starts.
- Website builds. 50% to start, 50% before launch.
- Larger builds. 40% to start, 30% when you approve the design, 30% before launch.
- Monthly services. Billed monthly in advance.
The site goes live after the final payment has cleared. Invoices are due within 14 days unless the quote says otherwise. If an invoice is more than 30 days late we may pause the work and, for monthly services, suspend the service, after telling you in writing first.
Who owns what
Intellectual property in the website we build for you, meaning the design, the code we wrote and the configuration, transfers to you once you have paid in full. From that point it is yours to keep, change, move or hand to someone else.
Before full payment, the work remains ours. Three things are not covered by that transfer, because they are not ours to give:
- third-party software such as WordPress, themes, plugins and fonts, which stay under their own licences
- stock photography and other licensed media, which stays under the licence it was bought on
- our own internal tooling and reusable components, which we license to you for use on your site without limit of time
Unless you ask us not to, we may name you as a client and show a screenshot of your site in our portfolio.
Revisions
Each stage of a project includes two rounds of revisions: two on the design, then two on the built site. A round is one batch of changes sent together. Sending notes one at a time over several days still counts as one round, but it slows the project down.
Changes beyond those rounds, or changes that reverse something already approved, are quoted separately.
What we need from you
A project depends on you as much as on us. You agree to provide:
- text and images, or a clear brief for us to write from, and the right to use everything you send us
- access to your domain, hosting, website and Google Business Profile where the work needs it
- feedback within 10 working days at each review stage
If a project stalls on your side for more than 60 days, we may invoice the work completed so far and close it. Restarting it later is a new quote.
Ongoing services
- Monthly. Billed monthly, cancellable by either side with 30 days notice in writing. No minimum term and no exit fee.
- Yearly prepaid. Optional. Non-refundable once the year has started. We send a reminder 30 days before it renews, and it never renews silently.
- Ad spend. Paid by you directly to Google or Meta on your own account. It never passes through us, and we are not responsible for what those platforms charge or for a campaign they reject.
When a monthly service ends, you get a full export of your site files and database, every login, and the latest backups. We hold nothing back.
No guarantee of rankings
We do not guarantee any position on Google, in any other search engine, or in an answer from an AI assistant. Nobody can. Those systems are controlled by their operators, they change without notice, and your competitors are working too.
What we do is improve the things that are known to drive visibility, and report honestly on what moved and what did not.
Our liability
We are liable for the work we do, within these limits.
- Our total liability for any claim is capped at the fees you have paid us for the service the claim relates to. For monthly services, the cap is the fees for the last 3 months.
- We are not liable for indirect or consequential loss, which includes lost bookings, lost revenue, lost profit, lost data and loss of goodwill.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that Tunisian law does not allow to be limited.
Services we do not control
Websites depend on things outside our reach: hosting providers, domain registrars, WordPress and its plugins, payment providers, Google, Meta and the AI assistants. We choose carefully and we fix what we can, but we are not responsible for an outage, a price change, a policy change or the withdrawal of a third-party service.
If one of them breaks something, we tell you what happened and what the options are.
Ending the agreement
Either of us may end a monthly service with 30 days written notice.
Either of us may end a project immediately if the other seriously breaches these terms and does not put it right within 14 days of being asked to in writing. If a project ends early, you pay for the work completed up to that point and we hand over everything that payment covers.
Confidentiality
Anything you tell us about your business that is not public stays between us, and the same applies in reverse. This continues after the work ends.
Data protection
How we handle personal data, and the Data Processing Agreement available to clients whose sites we host or maintain, are set out in the privacy policy.
Refunds
Refunds are covered in the refund policy, which forms part of these terms.
If we disagree
Write to legal@alphaqio.com and say what the problem is. We then have 30 days to settle it between us in good faith.
If that fails, we both agree to try mediation before going to court. If mediation fails as well, the competent courts are those of Djerba, in the Governorate of Medenine, Tunisia.
These terms are governed by Tunisian law.
Changes to these terms
We may change these terms. The version that applies to your project is the one published on the day you accepted the quote. For monthly services, we give 30 days notice of a change by email, and you may cancel within that period if you do not accept it.
